1. Agreement to Terms

By accessing our website or engaging our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

Sun AI Solutions ("we," "our," or "us") provides custom business automation and software development services including workflow automation, AI integration, custom dashboard development, and business systems integration.

2. Services Description

Service Offerings

We provide three primary service tiers:

Quick Start Automation

  • Lead capture and CRM integration
  • Automated follow-up sequences
  • Basic appointment booking workflows
  • Simple reporting dashboards
  • Email support

Business Command System

  • Multiple system integrations
  • Custom workflow logic and conditional automation
  • AI voice agents
  • Monitoring dashboards
  • Monthly optimization and priority support

Custom Operations Platform

  • Fully custom user interfaces and dashboards
  • Complex workflow automation with AI
  • Multi-system integration and data orchestration
  • White-labeled solutions
  • Comprehensive training and dedicated support
  • Ongoing development partnership

Service Delivery

Services are delivered according to project timelines established during the discovery phase. Typical delivery timeframes:

  • Quick Start Automation: 1 week
  • Business Command System: 2-3 weeks
  • Custom Operations Platform: 4-6 weeks

Timelines depend on client responsiveness, scope clarity, and third-party system availability.

3. Client Responsibilities

To ensure successful service delivery, clients must:

  • Provide timely access to required systems and accounts
  • Respond to requests for information within agreed timeframes
  • Maintain valid accounts with integrated third-party services
  • Provide accurate and complete business information
  • Designate authorized representatives for decision-making
  • Participate in scheduled discovery calls and training sessions
  • Test delivered systems and provide feedback during development

Delays caused by client non-responsiveness may extend delivery timelines without penalty to Sun AI Solutions.

4. Payment Terms

Pricing Structure

Quick Start Automation: $1,500 one-time setup fee

Business Command System: $4,500-$7,500 setup fee + $300-$800/month ongoing

Custom Operations Platform: $12,500-$25,000 setup fee + $1,000-$3,000/month ongoing

Exact pricing depends on complexity, number of integrations, transaction volume, and custom feature requirements.

Payment Schedule

Setup Projects:

  • 50% deposit due upon contract signing
  • 50% due upon project completion and delivery
  • Net 15 payment terms

Monthly Services:

  • Billed on the 1st of each month
  • Due upon receipt (Net 10)
  • Auto-payment preferred via credit card or ACH

Late Payments

Late payments are subject to:

  • 1.5% monthly interest charge (18% annual rate)
  • Suspension of services after 15 days past due
  • Termination after 30 days past due
  • Client responsible for collection costs and legal fees

Refund Policy

Setup Fees:

  • Deposits are non-refundable once work begins
  • If we fail to deliver within 90 days due to our fault, deposits are refundable
  • Scope changes requested by client may result in additional fees

Monthly Fees:

  • Non-refundable
  • Prorated upon termination based on services used
  • No refunds for partial months

5. Intellectual Property Rights

Client Ownership

Upon full payment, Client receives:

  • Ownership of custom-built dashboards and user interfaces specific to their business
  • License to use integrated workflows and automation systems
  • All client data and business information remains client property

Sun AI Solutions Ownership

Sun AI Solutions retains ownership of:

  • Underlying frameworks, templates, and methodologies
  • Reusable code components and libraries
  • Development tools and processes
  • General knowledge and expertise gained

License Grant

Client receives a perpetual, non-exclusive, non-transferable license to use the delivered systems for their internal business operations. Client may not resell, redistribute, or provide systems as a service to third parties without written permission.

Third-Party Software

Integrated third-party services (APIs, platforms, tools) remain property of their respective owners and are subject to their terms of service.

6. Warranties and Disclaimers

Limited Warranty

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards.

Disclaimer of Warranties

Services are provided "AS-IS" and "AS-AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

  • No Guarantee of Uptime: While we strive for reliable service, we do not guarantee 100% uptime or uninterrupted service due to dependencies on third-party platforms, internet connectivity, and client infrastructure
  • No Guarantee of Results: Automation performance depends on quality of client data, third-party API stability, and client adherence to recommended practices
  • Third-Party Dependencies: We are not responsible for third-party service outages, API changes, pricing changes, or policy modifications
  • AI Performance: AI-powered features depend on third-party AI services and may vary in performance based on inputs and external factors

7. Limitation of Liability

Liability Cap

Sun AI Solutions' total liability for any claim arising from services shall not exceed the total fees paid by Client in the 12 months preceding the claim.

Excluded Damages

Sun AI Solutions is not liable for:

  • Indirect, incidental, consequential, special, or punitive damages
  • Loss of profits, revenue, or business opportunities
  • Loss of data or business interruption
  • Costs of substitute services or products
  • Data loss caused by client's systems or third-party services
  • Downtime of integrated third-party services
  • Unauthorized access to client systems not caused by our negligence
  • Damages caused by client's failure to follow recommended practices

Third-Party Actions

We are not liable for actions or inactions of third-party service providers, including but not limited to API changes or deprecations, service outages or performance degradation, pricing or policy changes, and data breaches at third-party providers (unless caused by our negligence).

8. Third-Party Services and Dependencies

Integration Requirements

Our automation services integrate with third-party platforms. Client acknowledges:

  • Client is responsible for maintaining valid accounts and API access
  • Client must comply with third-party terms of service
  • Third-party service costs are separate from our fees
  • API rate limits and usage restrictions may affect functionality
  • We cannot guarantee compatibility with future API changes

Third-Party Service Changes

If a third-party service makes breaking changes, we will make reasonable efforts to adapt integrations. Additional fees may apply for significant rework. Client may need to switch to alternative services. We are not liable for functionality loss due to third-party changes.

9. Data and Confidentiality

Client Data

  • Client retains ownership of all client data
  • We access client data only as necessary to provide services
  • Client data may be processed through third-party AI services (Anthropic Claude)
  • We implement reasonable security measures to protect client data

Confidential Information

Both parties agree to maintain confidentiality of proprietary information shared during the engagement, including:

  • Business strategies and plans
  • Technical implementations
  • Pricing and financial information
  • Client lists and business relationships

Confidentiality obligations survive termination of services.

Data Processing Agreement

Use of AI services requires processing client data through Anthropic's Claude API. By using our services, client consents to this processing and acknowledges our Data Processing Addendum which incorporates Anthropic's data processing terms.

10. Service Levels and Support

Support Included

  • Quick Start Automation: Email support, business hours response
  • Business Command System: Priority email support, 24-hour response time
  • Custom Operations Platform: Dedicated support channel, 4-hour response time during business hours

Support Exclusions

Support does not include:

  • Training beyond initial onboarding
  • Changes to original scope (billable separately)
  • Support for client's internal systems or third-party services
  • Emergency support outside business hours (available for additional fee)
  • Data recovery or restoration (client responsible for backups)

Business Hours

Monday-Friday, 9:00 AM - 5:00 PM Pacific Time, excluding federal holidays.

11. Termination

Termination by Either Party

Either party may terminate with 30 days written notice.

Effect of Termination

Upon termination:

  • Client retains access to delivered systems and dashboards
  • Monthly fees are prorated to termination date
  • Setup fees are non-refundable
  • Client must pay all outstanding invoices
  • We will provide reasonable transition assistance (billable at hourly rate)
  • Confidentiality obligations continue

Termination for Cause

We may terminate immediately if client:

  • Fails to pay invoices after 30 days past due
  • Breaches confidentiality obligations
  • Uses services for illegal purposes
  • Violates third-party terms of service

Data Export

Upon request, we will provide client data in commonly used formats (CSV, JSON, PDF) within 30 days of termination. Data export may be subject to reasonable fees.

12. Modifications to Services and Terms

Service Changes

We reserve the right to:

  • Modify or discontinue services with 60 days notice
  • Update pricing for new projects (existing contracts honored)
  • Change third-party integrations if services become unavailable

Terms Changes

We may update these Terms periodically. Material changes will be communicated via email 30 days before taking effect. Continued use of services constitutes acceptance of updated Terms.

13. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Dispute Process

Before initiating formal proceedings, parties agree to:

  1. Attempt good-faith negotiation (30 days)
  2. If unresolved, pursue mediation (30 days)
  3. If mediation fails, binding arbitration under AAA rules

Venue

Any legal action must be brought in Orange County, California.

Attorney Fees

Prevailing party in any dispute is entitled to reasonable attorney fees and costs.

14. General Provisions

Entire Agreement

These Terms, together with any signed Service Agreement, constitute the entire agreement between parties.

Severability

If any provision is found unenforceable, remaining provisions continue in full force.

No Waiver

Failure to enforce any provision does not waive our right to enforce it later.

Assignment

Client may not assign or transfer rights without our written consent. We may assign rights to affiliates or in connection with a business transfer.

Force Majeure

Neither party is liable for delays caused by circumstances beyond reasonable control (natural disasters, pandemic, war, government action, internet outages).

Independent Contractors

We are independent contractors, not employees or partners of client.

Survival

Provisions regarding payment, confidentiality, intellectual property, warranties, limitations of liability, and dispute resolution survive termination.
